Italian sole trader (ditta individuale): checks for UK buyers and suppliers
Updated to
In short: an Italian sole trader (ditta individuale) is a person, not a company. Under Italian law the owner answers for the business's debts with all present and future assets, so you check the individual as well as the VAT number. Do not expect public accounts to read. If the business is small, insolvency follows the rules for smaller debtors. Use the €5.90 negative records report on the business and a Person Verification (€29) or Extended Person Verification (€49) on the owner.

Who answers for the debts?
A UK sole trader has "unlimited liability": GOV.UK says owners are personally responsible for all of the debts of the business (GOV.UK: set up as a sole trader). Italy reaches the same practical result through a general rule. Article 2740 of the Civil Code says the debtor answers for the performance of obligations with all present and future assets, and that limitations of liability are allowed only in the cases laid down by law (Normattiva: Civil Code, art. 2740).
The exception is the limited company, where the law limits liability, which is why the guide on S.r.l., S.p.A. and S.n.c. liability matters. A ditta individuale has no such shield. You can look to the owner's personal assets, but so can every other creditor of the owner. The owner's total position is the credit risk, not just the business's.
What can you see about a sole trader?
| Check | What it tells you | Source |
|---|---|---|
| Register extract (visura) | That the business is registered, where, and what it declares it does | Registro Imprese: €3.00 ordinary, €4.00 historical for sole traders |
| Digital domicile (PEC) | The official certified email for formal notices | Registro Imprese, INI-PEC |
| Protests against the business | Unpaid bills and bounced cheques, kept for five years or until cancelled | Registro Protesti |
| Position of the owner | Protests, adverse records, proceedings, other positions, shareholdings and properties | Person Verification and Extended Person Verification |
Prices and the five-year retention come from the register's own pages (Registro Imprese: visura and certificate; Registro Imprese: protests). The register's explanation of accounts filing is written for companies: shareholders approve the accounts and the director files them within 30 days (Registro Imprese: annual accounts). Do not assume a sole trader's accounts are public; if you need figures, ask for them in the contract negotiation.
The same register page on digital domicile says individual entrepreneurs, like companies, had to register their PEC address in the register, and that this is the official electronic address for communications, treated like registered post (Registro Imprese: PEC and digital domicile). See also Italian company PEC and formal notices.
What if the sole trader fails?
The Italian Code of Business Crisis and Insolvency (D.Lgs. 14/2019) separates larger and smaller businesses. Article 121 says liquidation proceedings (liquidazione giudiziale) apply to commercial entrepreneurs who are insolvent and who cannot show, together, the requirements of a "minor business" in article 2(1)(d). That definition, as published on Normattiva, requires over each of the three years before the application assets not above €300,000, revenues not above €200,000 and debts, even if not yet due, not above €500,000, and the figures may be updated every three years by ministerial decree (Normattiva: D.Lgs. 14/2019, art. 2; art. 121).
A smaller entrepreneur who is in crisis or insolvent is in a state the code calls over-indebtedness (sovraindebitamento), which has its own procedures. The practical point for you: the route by which creditors are dealt with depends on the size of the business, company or sole trader alike, and for a very small one it is not the liquidation proceedings you may expect. Our guide to Italian insolvency for UK creditors covers the proceedings; get Italian advice before you file a claim.
Which Veryfy report fits?
| Question | Report |
|---|---|
| Does the business have protests or insolvency proceedings against it? | Negative records and insolvency proceedings, €5.90 |
| What about the owner personally? | Person Verification, €29 |
| Does the owner have other positions, shareholdings and properties? | Extended Person Verification, €49 |
The person reports are offered for declared purposes, among them a contractual relationship in progress or about to begin with a sole trader or self-employed professional. UK GDPR points are covered in Checking an Italian individual. Properties shown are registration facts, not a statement that anything can be enforced against. The reports are in Italian and come with a free anti-scam check on the VAT number, email, website and IBAN you were given.
Protecting yourself in the contract
- Identify the signatory: the owner's full name, tax number and the business's VAT number, so the contract binds the right person.
- Prefer payment in advance or staged payment for a first contract, with a lower open exposure than you would accept from a company with filed accounts.
- Record the PEC address as the address for formal notices.
- Ask for a personal guarantee only if you have a clear need, and check the guarantor as a separate person.
Frequently asked questions
Is an Italian sole trader personally liable for business debts?
Yes. Article 2740 of the Civil Code says the debtor answers with all present and future assets, and limits on liability exist only where the law provides them. A ditta individuale has no company shield.
Does an Italian sole trader file public accounts?
Do not assume so. The register's explanation of accounts filing describes shareholders approving the accounts and the director filing them within 30 days, which is the company route. If you need figures, ask for them.
How do I check an Italian sole trader with Veryfy?
Use the €5.90 negative records report for the business and a Person Verification (€29) or Extended Person Verification (€49) for the owner. Each comes with a free anti-scam check.
Is a very small Italian business wound up through liquidation proceedings?
The size of the business matters more than its form. The insolvency code applies liquidation proceedings to insolvent commercial entrepreneurs who cannot show the minor-business requirements; smaller entrepreneurs fall under the over-indebtedness procedures.
