Italian company PEC and registered office: where UK businesses send formal notices

Updated to

In short: every Italian company is required to register an official certified email address, the PEC, with the business register, and that address is its digital domicile. According to Registro Imprese, messages exchanged between two certified addresses have the same legal effect as registered post with return receipt, but a message between a certified and an ordinary address has none. You can look the address up free of charge. Use it, with the registered office, as the address for notices in your contract.

What is a PEC and why does it matter?

PEC stands for posta elettronica certificata, certified email issued by providers authorised by the Italian digital agency, AgID. Registro Imprese says a PEC message has the same legal value as registered post with return receipt, provided both the sender's and the recipient's addresses are PEC addresses. If you send from an ordinary address to a PEC address, the recipient may not receive the message, depending on how the mailbox is configured, and exchanges between PEC and non-PEC addresses have no legal value (Registro Imprese: PEC and digital domicile).

For a UK business this has a very practical consequence. A termination notice, a payment demand or a notice of breach sent by ordinary email to an Italian company may reach nobody and prove nothing under Italian rules. It also means an Italian customer or supplier will expect important communications on the PEC channel.

The digital domicile

The register explains that the digital domicile is, in practice, a PEC address and serves as the official electronic address of a business. Electronic communications exchanged between digital domiciles produce the same legal effects as paper communications by registered post with return receipt and are equivalent to notification by post, including as to the time of sending and receipt.

The obligation to register it is established by law. Article 16 of Decree-Law 185/2008, as in force on Normattiva, requires companies to indicate their digital domicile, provides that a company that has not done so is sanctioned by a doubled penalty under art. 2630 of the Civil Code and is assigned a digital domicile by the register, and allows the registrar to cancel an inactive address after asking the company to provide a new one within thirty days (Normattiva: D.L. 185/2008, art. 16). The register's own page adds that the duty covers individual enterprises as well as companies, with a tripled penalty for individuals, and that registering or changing the address is free (see Italian sole trader).

How to find it

Telemaco company search€0.60By name, tax code or VAT number
Telemaco "registered office and local units" block€1Document on the registered office and local units, including the digital domicile

The fees and the search routes come from the register's own page. INI-PEC is the national index of PEC addresses of companies and professionals, set up under Decree-Law 179 of 18 October 2012 and open to anyone through its portal without authentication (Registro Imprese: INI-PEC). Always search with the tax code or VAT number, not the name alone, to avoid a homonym.

What to do in the contract and in disputes

Checking you are writing to the right company

The PEC address in the register is an official fact; an email signature or a website footer is not. Use the register to confirm that the address you were given belongs to the company you are dealing with. Inconsistencies between the VAT number, the email domain, the website and the bank details are what the free anti-scam check that comes with every Veryfy company product looks at: the VAT number in the VIES register, the email domain and its age, the website and the IBAN. See Italian supplier changed IBAN.

To establish who the company is, who owns it and whether it is in difficulty before you send anything, start with a Verification (€19); Decision (€49) adds links with other companies. The reports are in Italian and come from Italian official sources. This guide is about the register's tools: Veryfy is not a notice service and does not send messages for you.
