Italian company groups: who controls your customer and who answers for its debts
Updated to
In short: an Italian customer is often one company in a group, and the Civil Code defines when one company controls another (art. 2359) and when a parent exercising direction and coordination can be liable to creditors (art. 2497). A parent is not liable merely for owning a subsidiary: art. 2497 sets out a specific case, with conditions. The company file shows controlling companies and holdings; Veryfy's Decision report (€49) adds links with other companies.

When is a company "controlled" or "linked"?
Article 2359 of the Civil Code treats as controlled companies: those in which another company holds the majority of the votes exercisable at the ordinary shareholders' meeting; those in which another company holds enough votes to exercise a dominant influence at that meeting; and those under the dominant influence of another company by virtue of particular contractual ties. Votes held by controlled companies, trust companies and nominees count, while votes held on behalf of third parties do not. A company is "linked" when another exercises significant influence over it, and that influence is presumed when at least one fifth of the votes at the ordinary meeting can be cast, or one tenth if the shares are listed on a regulated market (Normattiva: Civil Code, art. 2359).
The definition matters when you read a shareholder list. A foreign holding company, a trust company or an individual may sit above the Italian customer, and the chain does not stop at the first name. It is also the starting point for the ownership test in our guide on UK sanctions and an Italian company.
Direction and coordination: when a parent can be liable
Article 2497 of the Civil Code provides that companies or entities that, exercising direction and coordination of companies, act in their own or others' business interest in breach of the principles of proper corporate and business management are directly liable to the shareholders for the harm to the profitability and value of their holding, and to the company's creditors for the harm to the integrity of the company's assets. There is no liability where the damage is missing in light of the overall result of the direction and coordination, or has been fully eliminated, including through operations aimed at that. Those who took part in the harmful act are jointly liable, and so, within the advantage gained, is anyone who knowingly benefited from it. Importantly for a creditor, shareholders and creditors can act against the parent only if they were not satisfied by the company subject to direction and coordination (Normattiva: Civil Code, art. 2497).
On its wording, this is a remedy for a specific kind of wrong, with conditions, and one that comes after the subsidiary has failed to pay. It is not a general guarantee by the parent. If your exposure is large, ask for an express parent guarantee instead of relying on art. 2497, and take advice on how it would work.
Where to find the group
Article 2497-bis requires a company to state, in its documents and correspondence and by registration in a dedicated section of the Registro Imprese, which company or entity directs and coordinates it. The section lists both the entities that exercise that activity and those subject to it. Directors who omit the statement or the registration are liable for damage that the lack of knowledge caused to shareholders or third parties, and the notes to the accounts must include a summary of the latest accounts of the controlling entity (Normattiva: Civil Code, art. 2497-bis).
In practice, the Registro Imprese company file for a limited company (S.r.l. or S.p.A.) includes the shareholders, the holdings in other companies and a block for controlling companies and entities (Registro Imprese: the company file). Look there before you set a credit limit, and look at the latest accounts for the notes the law requires.
Groups and insolvency
The Italian insolvency code (D.Lgs. 14/2019) defines a "group of enterprises" as the companies, enterprises and entities that, under arts. 2497 and 2545-septies of the Civil Code, exercise or are subject to direction and coordination, and presumes, unless proved otherwise, that direction and coordination is exercised by the entity required to consolidate the accounts or by the one that controls them (Normattiva: D.Lgs. 14/2019, art. 2). The code also provides a group composition with creditors (concordato di gruppo), with a single judge and commissioner for all the companies in the group, while each company's creditors vote separately on the proposal of the company that owes them (Normattiva: D.Lgs. 14/2019, art. 286). For a UK creditor the lesson is not to assume group-wide recovery: even where the code treats the group together, each company's creditors vote on the proposal of their own debtor. When a significant shareholder is itself a company, including a foreign one, the report traces the chain of control up to three levels. Every company product comes with a free anti-scam check. The reports are in Italian and show source and date; they do not say whether a parent will support a subsidiary, because that is a matter of contract and commercial choice.
What to do with the answer
- If the customer is a subsidiary, decide whether the credit limit should rest on its own accounts or on a guarantee from the parent.
- If the parent is foreign, check it too, and ask for the guarantee to be governed by a law and court you can use. The recovery position after Brexit is in Recovering a debt after Brexit.
- Record the group structure and the date in your credit file and review it at renewal.
Frequently asked questions
When does one Italian company control another?
Under art. 2359 of the Civil Code, when it holds the majority of votes at the ordinary meeting, enough votes to exercise a dominant influence there, or a dominant influence through particular contractual ties.
Is a parent company liable for its subsidiary's debts in Italy?
Not simply because it owns the subsidiary. Art. 2497 makes an entity that directs and coordinates liable to creditors in a specific case, for harm to the integrity of the company's assets caused in breach of proper management principles, and only if creditors were not satisfied by the subsidiary.
Where can I see which group an Italian company belongs to?
The Registro Imprese has a section for companies that direct and coordinate and those subject to it, and the company file has a block for controlling companies and entities. A Decision report (€49) adds links with other companies.
Does Veryfy tell me whether the parent will pay?
No. It shows ownership and links with source and date. Whether a parent supports a subsidiary depends on a guarantee or contract that you must ask for.
